CWTix™ Acceptable Use Policy

This Acceptable Use Policy (this "AUP" or this "Policy") is published by CW Talent Group, LLC d/b/a CWTix™ ("CWTix™", "we", "us", or "our") and applies to you as a user of the CWTix™ ticketing platform ("you", "your", or "User").

This AUP is incorporated by reference into, and supplements (but does not replace), the CWTix™ Terms of Service (the "Terms"). This AUP does not stand alone: it adds to the rules already set out in the Terms, and the Terms continue to apply in full. Capitalized terms used but not defined in this AUP — including Organizer, Ticket, Platform, Event, and User — have the meanings given to them in the Terms. If anything in this AUP conflicts with the Terms, the Terms govern.

1. Purpose and Scope

This AUP describes how you may and may not use the Platform. It tells you what conduct is prohibited when you browse, register for an account, buy or resell Tickets, attend Events, or otherwise interact with the Platform or with other users, Organizers, venues, performers, or CWTix.

This AUP applies to every User and to all use of the Platform. By accessing or using the Platform, you agree to follow this AUP. If you do not agree, you must not use the Platform.

2. Relationship to the Terms of Service

This AUP is part of the Terms. It is incorporated into the Terms by reference and supplements them — it does not replace them or limit them.

The enforcement provisions and all other provisions of the Terms (including, without limitation, provisions on accounts, payments, dispute resolution, limitation of liability, and governing law) continue to apply to your use of the Platform alongside this AUP. The Refund Policy referenced in the Terms continues to govern whether and how any refunds are issued.

If there is any conflict or inconsistency between this AUP and the Terms, the Terms govern to the extent of the conflict.

3. Prohibited Conduct

You must not do any of the following, and you must not help, encourage, or allow anyone else to do any of the following, when using the Platform.

Fraud and Payment Fraud

  1. Use any stolen, unauthorized, or fraudulent payment method, or any payment method you are not authorized to use;
  2. Place, or attempt to place, fraudulent orders, or use the Platform to commit any form of fraud;
  3. Misrepresent your identity, impersonate any person or entity, or provide false, inaccurate, or misleading information in connection with an account, order, or payment.

Ticket Resale and Scalping

  1. Resell, or offer to resell, any Ticket in violation of applicable law or the Organizer's rules. Resale of Tickets in New York is regulated by the New York Arts and Cultural Affairs Law (Article 25, Title G), which sets out requirements for the lawful resale of Tickets, and you are responsible for complying with those requirements;
  2. Resell, or offer to resell, any Ticket above any price limit imposed by applicable law or by the Organizer.

Automated Tools and Bots

  1. Use any bot, automated script, crawler, spider, or other automated tool or software to purchase or attempt to purchase Tickets, to hold or reserve Ticket inventory, or to scrape, harvest, or collect data from the Platform. The use of automated ticket purchasing software to buy Tickets is prohibited and, in New York, is unlawful under the New York Arts and Cultural Affairs Law (Article 25, including Section 25.24);
  2. Circumvent, or attempt to circumvent, any purchase limit, Ticket limit, queue control, waiting room, CAPTCHA, or other access or volume control on the Platform.

Security and System Integrity

  1. Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Platform, any account, or any of its security features, servers, networks, or systems, including by hacking, introducing malware or malicious code, launching denial-of-service or distributed-denial-of-service attacks, port scanning, probing for vulnerabilities, or any similar activity;
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or structure of any part of the Platform, except to the extent this restriction is prohibited by applicable law.

Content and Conduct Toward Others

  1. Harass, threaten, bully, stalk, defraud, or engage in abusive behavior toward other users, Organizers, venues, performers, or CWTix™ staff;
  2. Post, upload, transmit, or otherwise make available any content that is unlawful, infringing, defamatory, obscene, harassing, or otherwise objectionable, or that violates the rights of any third party.

Unlawful Use

  1. Use the Platform for money laundering, for financing illegal activity, or for any other illegal purpose, or in violation of any applicable law, rule, or regulation.

4. Account Responsibility and Security

You are responsible for your account and for everything that happens under it. In particular, you must:

  1. Keep your account credentials (such as your username and password) confidential and secure, and not share them with or transfer them to anyone else;
  2. Provide accurate, current, and complete information when you register and keep that information up to date;
  3. Take reasonable steps to prevent unauthorized use of your account; and
  4. Notify CWTix™ promptly if you become aware of, or suspect, any unauthorized use of your account or any other breach of security, using the contact details in the "Contact Us" section below.

You are responsible for all activity that occurs under your account, except to the extent caused by CWTix™'s own failure to maintain the security of the Platform.

5. Consequences of Violations

If you violate this AUP, CWTix™ may take action against you. Our response will generally be graduated and proportionate to the nature and severity of the violation, but the action we take is at our discretion and we may take any of the following steps in any order, with or without prior notice, depending on the circumstances. These remedies do not limit any other rights or remedies available to CWTix™ under the Terms or at law.

Depending on the circumstances, we may:

  1. Issue a warning;
  2. Suspend your account or your access to the Platform, in whole or in part;
  3. Terminate your account or your access to the Platform;
  4. Cancel or void affected Tickets or orders. Whether any refund is due, and how it is issued, is governed by the Refund Policy and applicable law; and
  5. Refer the matter to law enforcement or other authorities, and cooperate with any resulting investigation.

The enforcement terminology used here (including suspension and termination) has the same meaning as in the Terms, and CWTix™'s enforcement rights under this AUP are in addition to its rights under the Terms.

6. Reporting Violations

If you become aware of conduct that you believe violates this AUP, please report it to us at support@GetCWTix.com. Where possible, include enough detail to help us investigate, such as the account, order, listing, or content involved and a description of what happened.

7. Changes to this Policy

We may update this AUP from time to time, for example to reflect changes in our Platform, our practices, or applicable law. When we make changes, we will update the version number and the Effective Date at the top of this Policy, and the updated AUP will take effect as of the revised Effective Date. Your continued use of the Platform after the revised Effective Date means you accept the updated AUP.
