Terms of Services

1. Definitions

Defined Terms. For purposes of this document: “Platform” means the CWTix™ website, applications, dashboards, scanning tools, and related services. “Organizer” means the person or entity that creates, markets, hosts, and is legally responsible for an Event (including a venue acting as the organizer). “Venue” means the physical location where an Event is held. “Event” means any performance, show, festival, or gathering listed through the Platform. “Ticket” means a revocable, limited license to attend an Event, delivered digitally (including a QR code and/or wallet pass) or otherwise. “User” means any person or entity using the Platform, including Fans, Organizers, Venue staff, and account holders. “Payment Processor” means third-party payment providers used in connection with the Platform, including Stripe (online) and Square (in-person/door), and any successors.

2. Platform Intermediary; No Control Over Events

CWTix™ is a technology platform that enables Organizers to list Events and sell Tickets and enables Users to purchase and present Tickets for entry. CWTix™ does not organize, promote, produce, host, staff, supervise, or control any Event or Venue.

  • CWTix™ is not responsible for venue security, crowd control, line management, staffing decisions, medical services, or safety conditions at the Venue.
  • CWTix™ is not responsible for artist performance, set times, opening acts, production quality, or Event content.
  • CWTix™ is not responsible for cancellations, postponements, schedule changes, weather decisions, or governmental restrictions impacting an Event.

All Event-related obligations are solely between the User and the applicable Organizer and/or Venue. Admission decisions are made by the Venue and/or Organizer.

3. Accounts; Security; Communications

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and current information and promptly update it if it changes.

  • Do not share accounts or credentials.
  • Notify CWTix™ immediately if you suspect unauthorized access.
  • CWTix™ may send operational messages (purchase confirmations, delivery notices, scan/entry notices, security alerts).

4. Tickets; Delivery; Entry; Denied Admission

A Ticket is a revocable license to attend an Event and is not a property right. Your Ticket may be revoked or invalidated for fraud, abuse, or violations of these Terms or Venue rules.

Single-Use QR Codes and Wallet Passes

Each Ticket QR code is intended for one-time entry. The first successful scan may void subsequent attempts. Screenshots, duplicate images, copied codes, or altered codes may be rejected.

No Liability for Entry Denial

To the maximum extent permitted by law, CWTix™ is not responsible for denied entry, delays, or removal from an Event resulting from: (i) duplicate, copied, resold, transferred, or counterfeit Tickets; (ii) screenshots or shared QR codes; (iii) device issues (battery, display damage, connectivity); (iv) scanning hardware failures or operator error; (v) Venue policies or capacity limits; (vi) late arrival; or (vii) safety or security decisions made by Venue staff.

5. Payments; Fees; Third-Party Payment Processors

Online payments may be processed via Stripe and in-person/door payments may be processed via Square. Your use of payment services is also governed by the applicable Payment Processor terms.

CWTix™ does not control, and is not responsible for, Payment Processor availability, risk controls, reserves, settlement timing, chargeback decisions, or bank fees.

6. Refunds; Cancellations; Changes

Refund eligibility is determined by the Organizer's policies and applicable law. Unless explicitly stated otherwise at the time of purchase, Tickets and fees may be non-refundable.

If an Event is canceled or postponed, the Organizer is responsible for determining and communicating refund or exchange options. CWTix™ may facilitate communications or processing as a service but does not guarantee refunds unless required by law or expressly stated.

7. Resale; Transfers; Anti-Scalping; Anti-Bot

Tickets may only be resold or transferred if the Organizer permits it and only through authorized channels identified by the Organizer or the Platform (if offered). Unauthorized resale, use of automated purchasing tools, scraping, or circumvention of purchase limits is prohibited.

  • CWTix™ may cancel Tickets obtained through bots or circumvention.
  • CWTix™ may invalidate Tickets resold in violation of Organizer rules.
  • CWTix™ may restrict or disable transfers to reduce fraud.

8. Acceptable Use; Prohibited Conduct

  • Fraud, including use of stolen payment methods or false identity information.
  • Chargeback abuse or disputes filed in bad faith (including disputes after attendance).
  • QR code duplication, counterfeiting, tampering, or facilitating counterfeit access.
  • Harassment, threats, or violence toward staff, performers, or other attendees.
  • Interference with Platform security, scanning systems, or networks.

CWTix™ may investigate suspected misconduct and may share relevant evidence with Organizers, Payment Processors, and law enforcement where appropriate.

9. Suspension; Termination; Ticket Invalidation

CWTix™ may suspend or terminate your account or access to any part of the Platform at any time for fraud risk, chargeback abuse, security concerns, violations of these Terms, or legal risk.

CWTix™ may invalidate Tickets associated with suspected fraud or policy violations. Invalidation may occur without refund to the extent permitted by law.

10. Disclaimers

The Platform is provided “as is” and “as available.” CWTix™ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

CWTix™ does not warrant that the Platform will be uninterrupted, error-free, or that any Event will occur as scheduled.

11. Limitation of Liability

To the maximum extent permitted by law, CWTix™ is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue.

CWTix™'s total liability for any claim arising out of or relating to the Platform or any Ticket shall not exceed $2.50.

12. Indemnification

You agree to indemnify, defend, and hold harmless CWTix™ and its affiliates from any claims arising from your misuse of the Platform, your violation of these Terms, or your violation of law.

13. Dispute Resolution; Arbitration; Class Action Waiver

14. Governing Law; Venue

These Terms are governed by the laws of the State of New York, without regard to conflict of laws rules.

15. Changes to Terms

We may update these Terms from time to time. Changes become effective when posted. If changes are material, we may provide additional notice. Continued use of the Platform after the effective date constitutes acceptance.

References (non-exhaustive). CWTix™ integrates with third-party services and operates in New York. This document is designed to align with commonly applicable guidance and requirements, including: (i) Stripe dispute process documentation; (ii) Square payment dispute documentation; and (iii) New York data security and ticketing disclosure regimes. Counsel should confirm final compliance requirements for your specific event types and operating model.
